Acceptance of the Terms of Use

These terms of use are entered into by and between you (“user” or “you”) and Campfire Dating Inc. (the “Company,” “we,” or “us”). The following terms and conditions (“Terms of Use”) govern your access to and use of our online services and Company software applications, including our https://firepitapp.com website (the “Website”) and our firepit mobile application available on iOS and Android (collectively, the “firepit Platform”), whether as a guest or a registered user.

Please read these Terms of Use carefully before you use the firepit Platform. By using the firepit Platform or by clicking to accept or agree to these Terms of Use when that option is presented, you agree to be bound by these Terms of Use and by our Privacy Policy. If you do not agree to these Terms of Use or to the Privacy Policy, you must not access or use the firepit Platform.

The firepit Platform is offered and available only to users who are 18 years of age or older. By using the firepit Platform, you represent and warrant that you are of legal age to form a binding contract with the Company. If you do not meet these requirements, you must not access or use the firepit Platform.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time at our discretion. All changes are effective when we post the updated Terms of Use on the Website or within the firepit Platform, and apply to all access to and use of the firepit Platform thereafter.

Your continued use of the firepit Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check the Website or the location where these Terms of Use are made available within the firepit Platform from time to time so you are aware of any changes, as they are binding on you.

Description of Our Services

The firepit Platform is a mobile dating application that matches groups rather than individuals. Through the firepit Platform, users create individual profiles, join or create groups called “Tents” of two to five members, and discover other Tents by sending likes, asks or skips. If two Tents match, the groups can communicate in a group chat called a “firepit.” The firepit Platform may also include additional features from time to time, including profile prompts, media sharing, discovery filters, safety features, and other community or communication tools offered within the app.

The firepit Platform is offered through the firepit mobile application on iOS and Android. The Website at https://firepitapp.com may provide general information and a link to download the app. Users create an account connected to their phone number and optionally an email address, create an individual profile with biographical information, photos, and prompt responses, and then join or create one or more Tents. Each Tent profile combines the individual profiles of its members into one shared Tent profile. Users can select which Tent to use in their Discover feed and send likes, asks or skips to other Tents. When there is a match, the two Tents are connected in a group chat, a firepit Chat.

The firepit Platform may offer subscription features that provide additional benefits. Subscription benefits may apply to all Tents created by the subscriber, meaning that other members of those Tents may also receive subscription related benefits. The subscription may allow the creation of additional Tents beyond the default limit available to all users. If a subscription is cancelled or expires, any Tents created in excess of the default limit may be deleted.

All subscriptions are billed in advance, automatically renew unless canceled, and are managed through the user’s Apple App Store or Google Play Store account. All subscription purchases are final and non-refundable to the fullest extent permitted by law, and we do not provide refunds or credits for partial periods or unused services. The firepit Platform does not guarantee any specific results, matches, connections, dates, meetings, or outcomes. Users are responsible for their own conduct on and off the firepit Platform, including messages, Tent participation, and any interactions with other users. The Company does not conduct background checks or identity verifications of users and makes no representations regarding the character, intentions, or conduct of any user. Any in-person or offline interactions that may be facilitated by the firepit Platform occur at your own risk, and the Company is not responsible or liable for any disputes, claims, injuries, losses, damages, or incidents arising from those interactions. The firepit Platform may include community, messaging, and group chat features, and we may enforce policies that prohibit harassment, abusive conduct, offensive content, and other inappropriate activity, including by removing content, restricting features, or suspending or terminating accounts.

Accessing the firepit Platform and Account Security

We reserve the right to withdraw or amend the firepit Platform, and any service, feature, or material we provide on the firepit Platform, at our discretion and without notice. We will not be liable if for any reason all or any part of the firepit Platform is unavailable at any time or for any period. The firepit Platform may experience interruptions, delays, errors, maintenance downtime, or other availability issues, and the Company does not guarantee that the firepit Platform will be available at all times or without disruption. From time to time, we may restrict access to some parts of the firepit Platform, or the entire firepit Platform, to users, including registered users, including by limiting access based on safety, security, age eligibility, suspected misuse, subscription status, geographic availability, or platform maintenance.

To use the firepit Platform, users must create an account connected to their phone number, and users may also optionally provide an email address. Users then create an individual profile, which may include biographical information, photos, and prompt responses, and users may join or create groups called “Tents” of two to five members. This registration enables users to view Tent profiles, send likes or skips, match with other Tents, and communicate through group chats called “firepit Chats.” Profiles and Tent information may display information provided by users, which may include names or profile names, age, location or proximity information (if enabled), photos, preferences, and other biographical or profile content, and users should use good judgment in deciding what to share.

User Safety and Responsibilities

User Eligibility and Account Integrity: The firepit Platform is intended for users who are at least 18 years old. Users must provide accurate information when creating and maintaining an account, and must not misrepresent age, identity, or other required account information. We may, in our discretion, implement verification, authentication, or other account integrity measures from time to time. Accounts that fail to comply with these Terms of Use, or that we believe may involve misuse, fraud, or safety risks, may have limited access to features or may be suspended or terminated without notice.

Background Checks: The Company does not conduct criminal background checks, identity verifications, or screenings of users and makes no representations regarding the character, intentions, or background of any user. Users are solely responsible for vetting other users and any Tent or Tent members and exercising caution when engaging with others on or off the firepit Platform. You acknowledge and agree that the Company is not responsible or liable for any in-person meetings or offline interactions that may be facilitated by the firepit Platform, and you assume all risks associated with those interactions.

Scam and Fraud Warning: The Company strongly warns users to be vigilant against scams, fraudulent schemes, and other deceptive conduct. While we implement safety measures, we cannot guarantee the identity, intentions, or conduct of any user. Users should exercise judgment and take precautions when sharing information through profiles, Tent participation, or firepit Chats, and users should not send money or provide sensitive financial information to other users. All interactions are at the user’s own risk, including interactions that occur outside the firepit Platform.

In-Person Meeting Guidelines: If you choose to meet another user, Tent, or Tent members in person, the Company strongly recommends that you meet only in public locations, that you inform a friend or family member of your plans, and that you exercise caution at all times. You are solely responsible for your decisions and conduct when communicating with others and when meeting in person. The Company is not responsible for any incidents, disputes, harm, injuries, losses, or damages resulting from off platform meetings or interactions, even if those meetings or interactions were initiated or facilitated through the firepit Platform.

Device Security: Users are solely responsible for maintaining the security of their own devices and firepit accounts. This includes keeping operating systems, browsers, and applications up to date, protecting access to devices and authentication codes, and protecting against unauthorized access. The Company is not liable for any loss, compromise, unauthorized access, or misuse of an account resulting from a user’s failure to maintain appropriate device and account security measures.

No Solicitation or Commercial Use: The firepit Platform is intended for personal, non-commercial use only. Users are strictly prohibited from using their accounts to solicit other users, promote third party products or services, conduct marketing campaigns, or engage in any activity intended for commercial gain without the Company’s prior written consent. Violations of this policy may result in immediate account suspension or termination and removal of related content.

Content Moderation: The Company does not pre-screen all user generated content, including profiles, Tent profiles, messages, photos, and other content posted or shared through the firepit Platform, including within firepit Chats. While we strive to maintain a safe and respectful environment, we cannot guarantee that all content complies with these Terms of Use or any community guidelines. However, the Company reviews reports of inappropriate, fraudulent, harassing, or abusive content within a reasonable timeframe and may remove, restrict, or limit access to any material that violates these Terms of Use or our policies. The Company reserves the right to suspend or terminate accounts based on reported or detected violations, including conduct that occurs through firepit Chats or through attempts to move interactions off platform in a way that creates safety risks.

Joining the firepit Platform

As part of the registration process, the Company requires all users to click “I agree” to accept these Terms of Use before accessing the firepit Platform. By doing so, users confirm their understanding and acceptance of the terms outlined in this agreement, including the rules governing Tent participation, firepit Chats, user conduct, subscriptions, and account management.

You are responsible for making all arrangements necessary for you to have access to the firepit Platform, including maintaining a compatible device, internet access, and an active phone number. You are also responsible for ensuring that any person who accesses the firepit Platform through your device or account is aware of these Terms of Use and complies with them, and you remain responsible for activity that occurs through your account.

To access the firepit Platform or some of the resources it offers, you may be asked to provide certain registration details or other information, including a phone number for account creation and verification, and other profile and account information you choose to provide. It is a condition of your use of the firepit Platform that all the information you provide on the firepit Platform is correct, current, and complete. You agree that all information you provide to register with the firepit Platform or otherwise, including through the use of any interactive features on the firepit Platform, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

Once a Tent matches with another Tent, users can communicate through the firepit Platform’s built in group messaging features in a firepit Chat. The Company may add, modify, or remove communication features from time to time, and the availability of features may vary by device, region, account status, or subscription status.

If you choose, or are provided with, a user name, password, one time passcode, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the firepit Platform or portions of it using your security information. You agree to notify us immediately of any unauthorized access to or use of your account or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared device so that others are not able to view or record your security information or other personal information.

We have the right to disable any user name, password, account, or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms of Use, misused the firepit Platform, created safety risks, engaged in harassment or abusive conduct, attempted to circumvent subscription limits, or otherwise harmed the Company, other users, or the integrity of the firepit Platform.

Intellectual Property Rights

The firepit Platform and its entire contents, features, and functionality (including but not limited to all information, data input forms, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the firepit Platform solely for your personal, non-commercial use, in accordance with these Terms of Use. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on or made available through the firepit Platform, or use any such material to provide or facilitate services, interactions, or activities outside of the firepit Platform, except as follows:

your device may temporarily store copies of materials in memory incidental to your accessing and viewing them;
your browser or device may store files that are automatically cached for display enhancement purposes;
if we provide desktop, mobile, or other applications for download, you may download a single copy to your device solely for your personal, non-commercial use, provided you agree to be bound by any applicable end user license agreement; and
if we provide social media features with certain content, you may take such actions as are enabled by those features.

You must not modify copies of any materials from the firepit Platform, use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text, or delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the firepit Platform.

You must not access or use for any commercial purposes any part of the firepit Platform, or any services or materials made available through the firepit Platform, without the Company’s prior written consent.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the firepit Platform in breach of these Terms of Use, your right to use the firepit Platform will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the firepit Platform or any content made available through the firepit Platform is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the firepit Platform not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

You acknowledge that the firepit Platform and all content available on or through the firepit Platform, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of the firepit Platform or its content without the Company’s express prior written permission.

Mobile Application License

Subject to your compliance with these Terms of Use, the Company grants you a limited, revocable, non-exclusive, non-transferable license to install and use the firepit mobile application on a device that you own or control, solely for your personal, non-commercial use and solely as permitted by these Terms of Use. You must not copy, modify, create derivative works of, reverse engineer, decompile, disassemble, or attempt to derive the source code of the firepit mobile application, and you must not use the firepit mobile application in any manner that violates applicable law, infringes intellectual property rights, interferes with security features, or circumvents subscription or feature limits.

Trademarks

The Company name, the brand “firepit ,” the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. you must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this firepit Platform are the trademarks of their respective owners.

Prohibited Uses

You may use the firepit Platform only for lawful purposes and in accordance with these Terms of Use. You agree not to use the firepit Platform:

to scrape, harvest, collect, or systematically retrieve data, profiles, Tent information, or other content
to access the firepit Platform through automated means, including bots, scripts, scrapers, or data mining tools
to circumvent, disable, or interfere with security related features or access controls; to reverse engineer, decompile, or otherwise attempt to derive source code from the firepit Platform or any related software
to impersonate any person or misrepresent your identity or age; to engage in any fraudulent activity, misrepresentation, or deceptive business practices while using the firepit Platform
in any way that violates any applicable federal, state, local, or international law or regulation (including any laws regarding the export of data or software to and from the United States or other countries)
to transmit, or procure the sending of, any advertising or promotional material, including junk mail, chain letters, spam, or similar solicitations
to use the firepit Platform to solicit other users, advertise, or promote third party products or services without the Company’s prior written consent
to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the firepit Platform, or which, as determined by us, may harm the Company or users of the firepit Platform, or expose them to liability.

User Contributions

The firepit Platform may, either currently or in the future, contain various community and interactive features (collectively, “Interactive Services”) that allow users to create, share, and engage with content. These features include individual profiles, Tent profiles, prompt responses, photos and other media uploads, likes and skips, matching features, firepit Chats, in app messaging, and user reporting tools, and may also include additional community features from time to time, such as discussion areas or other interactive features offered within the firepit Platform. Users can upload and showcase media such as photos and other profile or Tent content. Additionally, users may have the ability to report other users or content, manage certain visibility or sharing settings where available, and interact with other users through the firepit Platform.

Any User Contribution you post to the firepit Platform, including individual profile content, Tent profile content, prompt responses, likes, messages, firepit Chat content, photos, or other media, will be considered non-confidential and non-proprietary as between you and the Company, and you understand that other users may be able to view certain User Contributions as part of the normal operation of the firepit Platform. By providing any User Contribution on the firepit Platform, you grant the Company and our affiliates and service providers, and each of their and our licensees, successors, and assigns, the right to host, store, use, reproduce, modify, adapt, format, translate, perform, display, distribute, and otherwise make available such material as reasonably necessary to operate, provide, maintain, improve, and promote the firepit Platform, including to display your content to other users, to enable matching and firepit Chats, to enforce these Terms of Use, to address safety and trust concerns, and to prevent fraud and abuse. You acknowledge that some content, including written materials, images, and designs, may be protected by copyright, and by posting it, you affirm that you have the necessary rights to share it and to grant the rights and license described in these Terms of Use.

You represent and warrant that:

you own or control all rights in and to the User Contributions, including any photos, images, messages, and individual profile or Tent profile content you upload, post, transmit, or otherwise make available through the firepit Platform, and you have the right to grant the license granted above to the Company and our affiliates and service providers, and each of their and our licensees, successors, and assigns; and
all of your User Contributions comply with these Terms of Use and with all applicable laws, including those related to privacy, image rights, and intellectual property, and do not violate the rights of any third party.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. The Company does not verify or endorse User Contributions and is not liable for the content, accuracy, completeness, or conduct of any user arising from User Contributions posted on or through the firepit Platform, including content displayed within individual profiles, Tent profiles, and firepit Chats.

Feedback

If you send us any questions, comments, suggestions, ideas, or feedback about the firepit Platform (collectively, “Feedback”), you agree that the Company may use that Feedback without restriction and without any obligation to you. To the fullest extent permitted by law, you grant the Company a perpetual, irrevocable, worldwide, royalty free license to use, reproduce, modify, distribute, and otherwise exploit any Feedback for any lawful purpose, including improving the firepit Platform

Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the firepit Platform or the public, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the firepit Platform.
Terminate or suspend your access to all or part of the firepit Platform for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the firepit Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review material before it is posted on the firepit Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Copyright Infringement

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

If you believe that any material on the firepit Platform infringes upon any copyright which you own or control, you may file a DMCA Notice of Alleged Infringement with us by emailing mikyok@firepit.com. Designated Copyright Agent: Mikyo Kalabacos, Attn: Copyright Agent.

Reliance on Information Posted

With respect to the general information presented on or through the firepit Platform, it is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the firepit Platform, or by anyone who may be informed of any of its contents.

This firepit Platform may include content and products provided by third parties, including materials provided by merchants, providers of goods and services, other users, third-party licensors, manufacturers, retailers and others. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials and listings provided by any third parties.

Changes to the firepit Platform

We may update the content on this firepit Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the firepit Platform may be out of date at any given time, and we are under no obligation to update such material.

User Data and Data Loss

We may maintain data you provide through the firepit Platform for the purpose of operating, maintaining, and improving the firepit Platform, including data relating to your account, your Tents, and your use of firepit Chats. You are responsible for maintaining copies of any content or information you want to preserve. To the fullest extent permitted by law, the Company will not be liable for any loss, corruption, deletion, restoration failure, or inability to store any user data, User Contributions, messages, or other content.

Information About you and your Visits to the firepit Platform

All information we collect on this firepit Platform is subject to our Privacy Policy. By using the firepit Platform, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Online Interaction Terms and Commercial Conditions

By engaging with other users through the firepit Platform, including through Tents and firepit Chats, and accepting any agreed terms between you and another user or group of users, you acknowledge that the Company is not a party to those agreements and is not responsible for payment, performance, or fulfillment of any commitments made between users. Users are solely responsible for negotiating, agreeing upon, and fulfilling the terms of any arrangements made on or off the firepit Platform, including any applicable costs, reimbursements, travel arrangements, venue reservations, or taxes, and you assume all risks associated with any offline interactions that may be facilitated by the firepit Platform.

All descriptions, references, and details of any activities, plans, meeting suggestions, travel ideas, or other information shared or posted on the firepit Platform, including through profiles, Tent profiles, messages, and firepit Chats, are provided by users and may be updated, modified, or removed at any time without notice. The Company does not warrant the accuracy, completeness, or availability of any such information, and any reference to a venue, activity, location, or third-party service does not constitute an endorsement or recommendation by the Company.

From time to time, the Company may, in its sole discretion, offer firepit Platform related promotions, trials, discounts, credits, or features (collectively, “Promotions”) designed to enhance user engagement, including subscription related offers or limited feature access. Promotions cannot be applied to prior interactions, have no cash value, are non-transferable, and may be subject to limitations, eligibility requirements, device or app store restrictions, or expiration dates. We reserve the right to modify or withdraw any Promotion at any time in accordance with applicable app store rules and applicable law.

The Company further reserves the right, with or without notice, to limit the number of Tents, interactions, likes, skips, matches, or other activity a user may create, impose conditions on the use of Promotions or subscription benefits, restrict or suspend a user’s ability to send or receive messages, participate in firepit Chats, or otherwise interact with other users, and deny firepit Platform access to any user for conduct that violates these Terms of Use or that we believe may harm other users, the Company, or the integrity, safety, or security of the firepit Platform. Where a subscription feature permits the creation of additional Tents beyond the default limit, the Company may enforce those limits and related account restrictions in accordance with these Terms of Use.

Payment

Fees

Users may purchase auto renewing subscriptions to access premium features of the firepit Platform, and subscription benefits may apply to all Tents created by the subscriber, meaning other members of those Tents may receive certain benefits as well. Any interactions occur solely between users, and the Company does not become a party to any relationship, communication, or arrangement between users, and does not broker or guarantee matches, outcomes, dates, or relationships. The Company provides access to firepit Platform features only.

Subscriptions are billed in advance and managed through the Apple App Store and the Google Play Store. Prices are displayed in app and may vary by region and applicable taxes. Any free trial, introductory pricing, promotional pricing, or billing grace periods that may be offered from time to time are offered, administered, and governed by the applicable app store rules and the terms presented to you at the time of purchase, and the Company does not administer free trials outside of the applicable app store purchase flow.

Subscriptions automatically renew unless canceled. All amounts paid are non-refundable to the fullest extent permitted by law, and the Company does not provide refunds or credits for partial periods or unused subscription time, except where required by applicable law or applicable app store rules. Nothing in these Terms alters the Company’s general no refunds policy, except where refunds, charge reversals, or mandatory cancellation rights are expressly required by applicable laws or mandated by the applicable app store.

Payments are processed by the applicable app store. The Company does not process or store your full payment card information. We may receive limited payment related records from the app stores, such as transaction identifiers, subscription status, renewal dates, and purchase validation data, for account administration, fraud prevention, customer support, and compliance purposes.

All purchases for firepit Platform subscription services must be completed through the Apple App Store or Google Play Store, as applicable. Off platform payments for subscription access, premium features, or other paid firepit Platform functionality are not permitted.

By purchasing a subscription you authorize the applicable app store to charge your stored payment method on a recurring basis until you cancel. You can cancel at any time in your Apple or Google subscription settings, and cancellation must occur at least twenty-four hours before the end of the current billing period to avoid renewal. After cancellation you will retain access to paid features until the end of the current period. No refunds or credits are provided for partial periods or unused services. If a payment fails, the Company may suspend or terminate access to paid features until the charge is successful. Prices and fees may change, and any changes will be communicated in accordance with app store procedures. If your subscription is cancelled or expires, any Tents created in excess of the default free limit may be deleted, and you may lose access to subscription related features tied to those additional Tents.

Payment Processing. Paid subscriptions for the firepit Platform are processed through the Apple App Store or Google Play Store, as applicable, and subscription administration and purchase validation may be supported by our third-party provider, RevenueCat. For payments made through the Apple App Store or Google Play Store, billing will be handled directly by the applicable store, and you must comply with its terms and conditions and privacy policy. The Company does not collect or store your full payment card details, and any payment information you provide is processed by the applicable app store in accordance with its policies.

You acknowledge and agree that any payment method used to purchase a subscription through the Apple App Store or Google Play Store is yours or that you have been specifically authorized by the owner of such payment method to use it. All purchases are subject to validation and authorization by the applicable app store and the issuer of the payment method. If a payment is not authorized or otherwise fails, the Company will not be liable for any non-delivery or delay of access to the firepit Platform or any paid features, and the Company may suspend or restrict access to paid features until payment is successfully processed.

All subscription purchases for the firepit Platform are final and non-refundable to the fullest extent permitted by law, except where a refund is required by applicable law or is issued by the applicable app store under its policies. The Company does not provide refunds or credits for partial subscription periods, unused subscription time, or dissatisfaction with the firepit Platform. Your subscription will remain active until the end of the billing cycle in which you cancel, subject to the applicable app store’s billing and cancellation rules.

Linking to the firepit Platform and Social Media Features

You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

This firepit Platform may provide certain social media features that enable you to:

Link from your own or certain third-party firepit Platforms to certain content on this firepit Platform.
Send emails or other communications with certain content, or links to certain content, on this firepit Platform.
Cause limited portions of content on this firepit Platform to be displayed or appear to be displayed on your own or certain third-party firepit Platforms.

You may use these features solely as they are provided by us, and solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:

Establish a link from any firepit Platform that is not owned by you.
Cause the firepit Platform or portions of it to be displayed on, or appear to be displayed by, any other site, for example, framing, deep linking, or in-line linking.
Link to any part of the firepit Platform other than the homepage.
Otherwise take any action with respect to the materials on this firepit Platform that is inconsistent with any other provision of these Terms of Use.

You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice.

We may disable all or any social media features and any links at any time without notice in our discretion.

Links from the firepit Platform

If the firepit Platform contains links to other sites, services, or resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, marketing content, app store related links, and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any third-party sites or services linked to the firepit Platform, you do so entirely at your own risk and subject to the terms and conditions of use and privacy policies of those third parties.

SMS Messaging Communications

SMS messaging may be used for multi factor authentication for your mobile number using a one-time PIN (OTP). The firepit Platform uses SMS primarily for account creation and login verification tied to your phone number, and we may use a third-party communications provider such as Twilio to deliver these messages. We may also use SMS to send service and account related notices, including security alerts, support related messages, and important updates about your account or use of the Platform. We will not send marketing or promotional text messages unless you have provided any consent required by applicable law, and you may opt out of any marketing texts at any time by replying STOP. Message and data rates may apply.

You can cancel non-essential SMS messages at any time by texting “STOP” to the applicable short code or number from which you receive messages, and we will send you an SMS message confirming that SMS messages will no longer be sent to that number. If you want to resume SMS messages, reply “START” and we will start sending SMS messages to you again, subject to your account status and applicable verification requirements. Account verification and security related SMS messages may be required to create an account or access certain firepit Platform features tied to your phone number.

Message and data rates may apply for any messages sent to you from us and to us from you. You may receive authentication codes or other account security messages each time you register a new device, sign in, or attempt certain account changes, including when we need to verify your phone number or protect your account. Message frequency may vary based on your activity and security settings.

If you have any questions regarding privacy, please read our Privacy Policy, which explains how we collect, use, and share information in connection with SMS authentication, account creation, and communications through the firepit Platform.

Geographic Restrictions

The firepit Platform is intended for users located in the United States, and the Company may limit availability of the firepit Platform to certain geographic areas, markets, or regions in its discretion, including based on operational, safety, legal, or business considerations. While we may allow access to the firepit Platform in additional jurisdictions from time to time, we make no guarantee or representation that the firepit Platform or any of its content is appropriate or legally permitted in every jurisdiction. Access to the firepit Platform may be restricted or prohibited by local laws, app store requirements, or Company policies in certain countries, states, or territories. If you access the firepit Platform from outside the United States, you do so voluntarily and at your own risk, and you are solely responsible for complying with all applicable regional and national laws. Your privacy rights and choices are described in our Privacy Policy, and we will process Personal Data in accordance with that Privacy Policy and applicable law.

User-Generated Content and Copyright

The Company is not liable for content uploaded or shared by users. Any user uploaded material, including text, images, photos, videos, messages, prompt responses, profile content, Tent content, firepit Chat content, audio recordings, data files, or other media, is the sole responsibility of the user who submitted it. Users must ensure they have the legal right to share any copyrighted, trademarked, confidential, or otherwise protected content, and that their content does not violate the rights of any other person. The Company reserves the right to remove or restrict any content that violates intellectual property laws, privacy rights, contractual obligations, these Terms of Use, or any firepit Platform safety rules or content standards.

Community Content and Conduct

The Company is not responsible for user generated content in profiles, Tent profiles, firepit Chats, messages, or discussions. Views expressed by users do not represent the opinions or advice of the Company. While we strive to maintain a respectful environment, users must follow a code of conduct prohibiting offensive, discriminatory, harassing, threatening, defamatory, misleading, fraudulent, sexually explicit or exploitative, or otherwise inappropriate content or behavior. Violations may result in content removal, warnings, temporary or permanent account suspension, message restrictions, matching restrictions, or other enforcement action where applicable. The Company does not guarantee the accuracy, reliability, or validity of information shared by users through the firepit Platform, and users should independently verify any information and exercise caution before relying on it, including before meeting offline.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including activity within Tents and firepit Chats. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security, including any suspected compromise of your phone number, device, or authentication codes used to access the firepit Platform. The Company is not liable for any loss or damage arising from your failure to comply with this security obligation or from your failure to maintain reasonable security on your device and account.

In addition to other prohibitions set forth in these Terms of Use, you are prohibited from using the firepit Platform or its content for any unlawful purpose, to solicit others to perform or participate in any unlawful acts, to violate any applicable international, federal, state, or local regulations, rules, laws, or ordinances, or to infringe upon or violate the Company’s intellectual property rights or the intellectual property rights of others. You are also prohibited from using the firepit Platform to facilitate harassment, stalking, threats, fraud, scams, impersonation, or any other conduct that may harm other users or the integrity of the firepit Platform, whether on the Platform or in any offline interactions that may be facilitated by the Platform.

Monitoring and Enforcement; Termination

We have the right to monitor activity and User Contributions on the firepit Platform, including profiles, Tent content, and firepit Chats, and to take enforcement action as described below:

Remove, restrict, disable, or refuse to post any User Contributions, including profile content, photos, Tent content, and firepit Chat messages, for any or no reason in our sole discretion, including to enforce these Terms of Use, protect users, and maintain the safety and integrity of the firepit Platform.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates these Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the firepit Platform or the public, involves harassment, bullying, stalking, threats, scams, or other misconduct, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

Refunds and Dispute Resolution

The firepit Platform does not provide refunds for subscription purchases, except where a refund is required by applicable law or is issued by the Apple App Store or Google Play Store under its policies. All subscription purchases are considered final and non-refundable to the fullest extent permitted by law. The firepit Platform is a social connection platform and does not provide professional services, and the Company is not responsible for the outcome of any offline interactions between users, including meetings, dates, or other conduct that may be facilitated by the firepit Platform. If you believe an issue has occurred with your subscription billing, you should first follow the applicable app store’s procedures for billing support, and you may also contact us at contact@firepitapp.com. If you believe a user has violated these Terms of Use or engaged in harassment, fraud, threats, or other misconduct, you should report the issue through the firepit Platform’s reporting tools if available, or by emailing contact@firepitapp.com, and we may review the report in accordance with these Terms and our safety policies.

All subscription payments for the firepit Platform are handled by the Apple App Store or Google Play Store, as applicable, and subscription administration and validation may be supported by RevenueCat. The Company does not store or have access to your complete payment information. By using the firepit Platform and purchasing a subscription, you agree to be bound by the terms and conditions and privacy policies of the applicable app store and any applicable third party providers involved in subscription administration. The Company is not responsible for any errors, delays, charge failures, or billing issues caused by the applicable app store or other third party payment processing systems, except to the extent such issue is directly caused by the Company’s own systems.

Disclaimer of Warranties

Platform Disclaimers

The Company does not guarantee or warrant that files, content, or data available on the firepit Platform or the internet are free of viruses or harmful code. You are responsible for implementing anti virus protection, data security measures, and maintaining external backups where applicable to your device. While the Company implements reasonable administrative, technical, and organizational measures designed to protect user data and platform integrity, no platform, system, or transmission over the internet can be guaranteed to be 100 percent secure. The Company does not warrant or represent that your personal information, messages, firepit Chats, or other data will always remain secure, and you acknowledge that you provide information and engage with the firepit Platform at your own risk. The Company expressly disclaims any liability for unauthorized access, data breaches, hacking incidents, or other security compromises beyond its reasonable control, including compromises arising from your own device, network, or account security practices.

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL OF SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVICE, SOFTWARE, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE FIREPIT PLATFORM OR ANY LINKED THIRD PARTY PLATFORM. YOUR USE OF THE FIREPIT PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH IT IS AT YOUR OWN RISK. THE FIREPIT PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY ASSOCIATED PARTY WARRANTS THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE FIREPIT PLATFORM. WE DO NOT GUARANTEE THAT THE FIREPIT PLATFORM OR ITS CONTENT WILL BE ERROR FREE, UNINTERRUPTED, OR FREE FROM DEFECTS OR VIRUSES, OR THAT IT WILL MEET YOUR EXPECTATIONS. TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, NON INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY DOES NOT GUARANTEE ANY PARTICULAR MATCH, CONNECTION, OFFLINE MEETING, DATE, OUTCOME, OR RELATIONSHIP, AND IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER ON OR OFF THE FIREPIT PLATFORM. The firepit Platform provides a platform for users to connect with other users, including through individual profiles, Tents, matching features, and firepit Chats, but the Company does not guarantee any specific results, matches, connections, communications, offline meetings, dates, outcomes, or relationships. Users must exercise independent judgment and caution before interacting with another user, whether on the firepit Platform or offline. Users are not employees, agents, representatives, or partners of the Company, and the Company is not responsible for their actions, omissions, statements, or conduct, including any conduct that occurs outside the firepit Platform even if an interaction was facilitated by the firepit Platform. The Company does not conduct criminal background checks or identity verification as a standard practice, does not endorse any user, and makes no representations regarding the character, intentions, or compatibility of any user. Statements made by users on the firepit Platform do not reflect the Company’s views. Any ratings, feedback, reports, or user generated content are provided by users and are not verified by the Company, and you rely on them at your own risk. The Company assumes no liability for user generated content or for any interactions between users, and you agree that your use of the firepit Platform and any reliance on content or communications through it is at your own risk.

Independent Contractors and No Professional Advice

The Company does not employ users. All users operate independently, and the Company is not responsible for their actions, omissions, or representations. Any disputes, claims, or issues arising from interactions between users, including communications through firepit Chats or offline meetings that may be facilitated by the firepit Platform, must be resolved directly between the users involved. The Company does not provide legal, tax, financial, medical, safety, or investment advice. Any information provided by another user is for informational purposes only, is not verified by the Company, and you should seek advice from qualified professionals when appropriate. The Company may provide general safety guidance within the firepit Platform, but that guidance is informational only and does not replace your own judgment or appropriate professional or emergency assistance.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE FIREPIT PLATFORM, ANY FIREPIT PLATFORMS LINKED TO IT, ANY CONTENT ON THE FIREPIT PLATFORM OR SUCH OTHER FIREPIT PLATFORMS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the firepit Platform, including, but not limited to, your User Contributions, any use of the firepit Platform's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the firepit Platform.

Termination of Access

The Company reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to the firepit Platform at any time and for any reason, including for violations of these Terms of Use, suspected fraudulent activity, safety concerns, or conduct that we believe may harm other users, the Company, or the integrity of the firepit Platform. Upon suspension or termination, your right to access or use the firepit Platform will immediately cease, and you must promptly discontinue all access and use. The Company may also remove or restrict access to your User Contributions or other content to the extent permitted by law and consistent with these Terms. Any provisions of these Terms of Use which by their nature should survive termination will continue in full force and effect, including provisions relating to ownership, disclaimers, limitation of liability, indemnification, and dispute resolution.

Governing Law

These Terms of Use, your access to the firepit Platform, and any Dispute (including non-contractual disputes or claims) will be governed by and construed in accordance with the internal laws of the State of New Jersey, without giving effect to any choice of law or conflict of law rule or provision.

Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use or the firepit Platform (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least one hundred eighty (180) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Mercer County, New Jersey. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Mercer County, New Jersey, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Electronic Communications, Transactions, and Signatures

Visiting or using the firepit Platform, sending emails to us, receiving notices from us, and completing in app prompts or forms constitute electronic communications. You consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically, including through the firepit Platform or by email, satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, electronic consents, and electronic records in connection with your use of the firepit Platform.

Entire Agreement

The Terms of Use, our Privacy Policy, and any additional terms presented to you within the firepit Platform that you accept, including subscription terms presented through the Apple App Store or Google Play Store, as applicable, constitute the sole and entire agreement between you and the Company regarding the firepit Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the firepit Platform.
